1. Who you are contracting with
The service is provided by TEKA DIGITAL LLC, a limited liability company organised under the laws of the State of Missouri, United States. In this document “TEKA”, “we”, “us” and “our” mean that company. “You” means the business or individual using the service.
These terms, together with the Privacy Policy and the Refund Policy, form the whole agreement between us regarding the service.
2. What TEKA does
TEKA is job documentation and estimating software for field service businesses. It lets a technician record notes and photos on site, produces a draft estimate from those notes and from the price book you supply, and helps you schedule approved work and notify the customer.
TEKA is not a payment service. We do not process payments from your customers, issue invoices on your behalf as a merchant of record, hold or transmit funds, or act as a lender, escrow agent or money transmitter. Estimates and invoices produced in TEKA are documents you send; the payment itself happens outside the service, through whatever bank or payment provider you already use.
TEKA is also not a licensed contractor, engineer, code inspector, insurer or lawyer, and nothing in the software is professional advice. You remain responsible for the licensing, permits, code compliance, safety and workmanship of every job you take on.
3. Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding contract.
- The service is offered for business use. It is not intended for personal or household use.
- You must give accurate registration details and keep them current.
- You are responsible for everything that happens under your account, including the actions of the crew members you invite, and for keeping credentials confidential.
- Tell us promptly at [email protected] if you believe an account has been accessed without authorisation.
4. Trials, plans and billing
Plans and prices are shown on our pricing section and are stated in US dollars, exclusive of any sales or use tax that may apply.
- Trial. New accounts may start a 14 day trial without a payment method. If you do not subscribe when the trial ends, the account moves to a read-only state and is deleted after the retention period in the Privacy Policy.
- Renewal. Paid subscriptions renew automatically at the end of each billing period, monthly or annually, until cancelled. Cancelling stops the next renewal; access continues to the end of the period already paid for.
- Seats. Plans include a stated number of user seats. If you add seats mid-period you will be charged pro rata for the remainder of that period.
- Failed payments. If a charge fails we may retry it and may suspend access until the balance is settled.
- Price changes. We will give at least 30 days' notice by email before a price change takes effect on your next renewal. You can cancel before then.
- Refunds. Handled under the Refund Policy.
5. Your content and your customers
“Your content” means everything you put into the service: job notes, voice recordings, photographs, price books, estimates, and the customer names and contact details you enter.
You own your content. You grant us a limited, non-exclusive licence to host, copy, transmit and process it for the sole purpose of operating the service for you, providing support, and meeting our legal obligations. We do not sell your content, and we do not use it to advertise to you or anyone else.
Where your content includes personal information about your customers or employees, you are the controller of that information and we act as your processor. You confirm that you have the right to enter it and to have us process it, and that you will do so in line with applicable privacy law and any notice you have given those people. Do not upload categories of data the service is not built for, in particular payment card numbers, government identifiers, biometric data or medical records.
6. AI-generated drafts
TEKA uses automated models to transcribe voice notes and to assemble draft scopes of work and line items. These outputs are drafts for your review. They may be incomplete, may misread a note, and may miss something only a person standing in the room would catch.
- You must review a draft before sending it to a customer or relying on it.
- Pricing is drawn from the price book you provide. Where a match is uncertain the draft flags it; unflagged items are still your responsibility to check.
- You, not TEKA, are accountable for the accuracy of any estimate, quote or scope of work you send to a customer, and for any commitment it creates.
7. Acceptable use
You agree not to:
- use the service to send unsolicited bulk messages, or to contact people who have asked you not to;
- upload unlawful, infringing, deceptive or malicious content, or content you have no right to upload;
- attempt to access another customer's data, probe or disrupt the service, or circumvent rate or seat limits;
- reverse engineer, decompile or copy the service except where such a restriction cannot lawfully be imposed;
- resell, sublicense or provide the service as a bureau to third parties without our written agreement;
- use the service to build or train a competing model or product from our outputs;
- use the service in a way that breaks any applicable law, including contractor licensing, consumer protection, advertising and privacy rules.
If you find a security problem, tell us at [email protected] before disclosing it elsewhere. We will not pursue good faith research that respects customer data.
8. Availability and changes
We work to keep the service available, but we do not promise uninterrupted operation. Maintenance, third-party failures and events outside our control can cause downtime. Offline capture is designed so a technician can keep working while connectivity is lost, but you should keep your own records of anything critical.
We may add, change or remove features. If we plan to remove or materially reduce a feature you rely on, we will give reasonable notice by email or in the app. During the beta period features may change more often and may contain defects.
9. App store purchases
If you download the app from the Apple App Store or Google Play, your use is also subject to that store's terms, and any subscription you buy inside the app is sold and billed by Apple or Google, not by us. In that case:
- the store, not TEKA, handles billing, cancellation and refunds for that subscription;
- you manage or cancel the subscription in your store account settings;
- Apple and Google are not parties to this agreement and have no obligation to support the service, although they may enforce these terms as third-party beneficiaries where their rules require it.
10. Intellectual property
We own the service, including the software, interface designs, documentation and the TEKA name and marks. These terms grant you a limited, revocable, non-transferable right to use the service during your subscription, and nothing more. You may not use our name or marks without permission except to state factually that you use TEKA.
If you send us feedback or suggestions, you allow us to use them without obligation or payment. We may publish aggregated, de-identified statistics about how the service is used, in a form that does not identify you, your crew or your customers.
11. Suspension and termination
You can stop using the service and cancel at any time from inside the app. We may suspend or terminate access if you materially breach these terms, if your payment remains unsettled after notice, if your use puts the service or other customers at risk, or if we are required to by law. Where the circumstances allow it, we will give you notice and a chance to fix the problem first.
After termination you may export your content for 30 days. After that we delete or de-identify it in line with the Privacy Policy. Clauses that by their nature should survive termination — intellectual property, disclaimers, liability, indemnity and disputes — do survive.
12. Disclaimers
Except where the law does not allow it, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the service will be error free, that outputs will be accurate or complete, or that it will meet a particular regulatory requirement of your trade or jurisdiction.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, even if advised of the possibility.
Our total aggregate liability arising out of or relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred US dollars if you have paid us nothing. Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will defend and indemnify us against third-party claims, and reasonable costs and legal fees arising from them, that result from your content, from work you performed or quoted for, from your breach of these terms, or from your breach of law in the operation of your business. We will notify you promptly of any such claim and let you control the defence, provided any settlement that binds us has our written consent.
15. Governing law and disputes
These terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law rules, and excluding the UN Convention on Contracts for the International Sale of Goods.
Before starting formal proceedings, both of us agree to try to resolve the dispute informally: send a written description of the problem and what you want to [email protected], and we will respond within 30 days.
If that does not resolve it, any dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Missouri, or in a small claims court where the claim qualifies. Each of us waives any right to a jury trial and to participate in a class or representative action. If the class action waiver is held unenforceable as to a claim, that claim proceeds in the state or federal courts located in Missouri, to whose exclusive jurisdiction both of us consent. You may opt out of arbitration by emailing [email protected] within 30 days of first accepting these terms.
16. Changes to these terms
We may update these terms. If a change is material we will give at least 14 days' notice by email or in the app before it takes effect, and the “last updated” date above will change. Continuing to use the service after the effective date means you accept the new version. If you do not accept it, cancel before that date.
